New Model under Italian Law (Legislative Decree No. 231/01)
The Legislative Decree No. 231/2001 (the "Decree") has introduced a new form of company liability, characterized as administrative but basically of criminal nature, for certain types of illegal acts accomplished by its directors and employees and by persons acting on behalf and for behalf of Romaco S.r.l.
In accordance with the Decree directions, by resolution of the Board of Directors on July 26, 2010, Romaco S.r.l. has adopted a Model of Organization, Management and Control, which consists of the following documents:
- General Section
- Special Section concerning Health and Safety in the Working Place
- Code of Business Conduct for Employees and Suppliers
- The proxy system
- Company policies and procedures related to the functional-hierarchical structure (Corporate Policy and Procedures) and information security
- The quality management system certified according to UNI EN ISO 9001
- The disciplinary system
- The communication system and staff training
Among the above-mentioned documents, the Code of Business Conduct takes on importance, as a vehicle for the diffusion of ethical business principles. In fact Romaco S.r.l. brings the Code to knowledge of each third party having interest in interacting or communicating with the Company; thus, third parties will have to inspire their attitude and their work to the Code, for what of their competence and responsibility. Romaco S.r.l. engages itself to the Code of Business Conduct wider diffusion among its social partners, as well as to the Code regular updating and to make available every possible tool that encourages its full application. Moreover Romaco S.r.l. commits itself to carry out checks on any notice of violation of the Code, appraisal of the facts and consequent implementation of appropriate measures, in the case of ascertained violation.
All suppliers, external collaborators, subcontractors, partners and consultants who work with Romaco S.r.l. are required to comply with the principles stated in the Code of Business Conduct for Suppliers, which is attached here-below:
